Types of Structures for Company Registration in Turkey
When registering a company in Turkey, entrepreneurs can choose from several legal structures based on their business goals, size, and industry. The most common types are Limited Liability Company (Ltd. Şti.), Joint Stock Company (A.Ş.), Sole Proprietorship, and Branch or Liaison Offices of foreign companies.
The Limited Liability Company (Ltd. Şti.) is the most popular structure for small to medium-sized enterprises. It requires at least one shareholder and a minimum capital of 10,000 TRY. Shareholders’ liability is limited to their capital contributions.
The Joint Stock Company (A.Ş.) is ideal for larger operations and businesses planning to go public. It requires a minimum capital of 50,000 TRY and at least one shareholder. This structure allows for share transfers and is subject to more rigorous regulatory requirements.
A Sole Proprietorship is a simpler structure suitable for small, low-risk businesses. It is owned and operated by a single individual, who is personally liable for all debts and obligations.
Branch and Liaison Offices allow foreign companies to operate in Turkey without establishing a separate legal entity. A branch can conduct commercial activities, while a liaison office is limited to non-commercial operations like market research or communication.
